Terms of Service

These Terms of Service ("Terms") are an agreement between you and IRC Contracts ("we", "us") and cover your use of the irccontracts.com website, the IRC Contracts app, and the form library and related services (together, the "Service"). By starting a trial, subscribing, or using the Service, you agree to these Terms. If you are using the Service for a company, you agree for that company, and "you" includes the company.

1. What IRC Contracts is, and is not

IRC Contracts provides software and a library of contract forms for California industrial and commercial real estate. We are not a law firm and we do not give legal, tax or real estate advice. The forms are general templates. They may not fit your transaction, and laws change. You are responsible for choosing the right form, filling it in correctly, and deciding whether it meets your needs. We strongly recommend that you have an attorney review any agreement before you sign it. Using the Service does not create an attorney-client relationship with anyone.

2. Eligibility and accounts

  • You must be at least 18 and able to enter into a binding contract.
  • Give us accurate information and keep it up to date.
  • Keep your login details private. You are responsible for activity under your account.
  • Each user needs their own seat. A Single User plan is for one person. A Team plan is for up to 10 named users in the same company. Logins may not be shared.

3. Free trial

New subscribers may get a 7-day free trial. You need to enter a payment method to start a trial. If you do not cancel before the trial ends, your subscription starts automatically and your payment method is charged for the plan you chose. We may limit trials to one per person or company.

4. Subscriptions, billing and renewal

  • Automatic renewal. Subscriptions renew automatically at the end of each monthly or yearly billing period, and we charge your payment method at the then-current price until you cancel.
  • Prices and taxes. Prices are shown on our website in U.S. dollars. You are responsible for any taxes that apply. We may change prices; we will tell you at least 30 days before a price change affects your subscription, and the new price starts at your next renewal.
  • Plan changes. Upgrades take effect right away, and you are charged a prorated amount for the rest of the billing period. Downgrades and switches from yearly to monthly take effect at the end of your current billing period.
  • Payments. Payments are processed by Stripe. If a payment fails, we may suspend access until it is resolved.

5. Cancellation and refunds

You can cancel any time from the billing portal linked on our website, or by emailing support@irccontracts.com. When you cancel, your subscription stays active until the end of the billing period you already paid for and then ends. Except where the law requires otherwise, payments are not refundable and we do not give credits for partial billing periods. If you believe you were charged in error, contact us and we will look into it.

6. Your license to use the Service

While your subscription or trial is active, we give you a limited, non-exclusive, non-transferable license to install and use the IRC Contracts app and to use the form library for your own real estate transactions and those of your clients. You may fill in, edit, print, sign and share completed documents with the parties to a transaction and their advisors.

You may not:

  • Sell, rent, sublicense or give away the form library or blank forms, or publish them, for example on a website or in another product.
  • Copy, modify or reverse engineer the app, except as the law allows.
  • Get around any licensing, access or security feature of the Service.
  • Use the Service for anything illegal, or to harm anyone.

We and our licensors own the Service, including the app, the forms, the website and our name and logo. These Terms do not give you any ownership rights.

7. Your documents

The documents you create and the information you enter into them belong to you. The app saves your documents on your Mac. You are responsible for keeping backups of your documents.

8. Changes to the Service

We regularly update the app and the forms, and we may add, change or remove features or forms. If we make a change that significantly reduces what you are paying for, we will tell you in advance, and you may cancel.

9. Ending your access

We may suspend or end your access if you seriously or repeatedly break these Terms, do not pay, or use the Service in a way that could cause harm or legal liability. If we end your access without cause, we will refund the unused part of any prepaid period.

10. Disclaimers

THE SERVICE AND ALL FORMS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT ANY FORM IS SUITABLE FOR YOUR TRANSACTION, ENFORCEABLE, OR UP TO DATE WITH CURRENT LAW, OR THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST COMMISSIONS, LOST DATA OR LOST BUSINESS, ARISING FROM YOUR USE OF THE SERVICE OR ANY FORM. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

12. Indemnity

You agree to defend and hold us harmless from claims by third parties that arise from your use of the Service or the documents you prepare with it, or from your breaking these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in California, and you and we agree to those courts' jurisdiction. Before filing a claim, please contact us so we can try to resolve it informally.

14. Changes to these Terms

We may update these Terms. We will post the new version on this page and update the date at the top, and we will email subscribers about significant changes before they take effect. If you keep using the Service after the changes take effect, you accept the new Terms. If you do not agree, you may cancel.

15. Other terms

These Terms and our Privacy Policy are the whole agreement between you and us about the Service. If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a part of these Terms, we do not give up the right to enforce it later. You may not transfer these Terms without our consent; we may transfer them as part of a merger, sale or transfer of our business.
